Website Design and Development Terms and Conditions - Paarin by Tape Cassette
These Terms and Conditions govern the relationship between Paarin by Tape Cassette ("Paarin," "we," "us," or "our") and you ("Client," "you," or "your") regarding website design, development using Framer, Figma design services, and website hosting. By engaging our services, you agree to be bound by these terms.
1. Definitions
Agreement: These Terms and Conditions, together with any project proposal, statement of work, or other written agreement between Paarin and the Client.
Client Materials: Any information, data, text, graphics, photos, designs, trademarks, or other content provided by the Client to Paarin.
Deliverables: The specific outputs to be provided by Paarin as outlined in the project proposal or statement of work, which may include Figma designs, Framer websites, and hosted websites.
Intellectual Property Rights: Patents, rights to inventions, copyright and related rights, moral rights, trademarks and service marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how) and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.
Project Proposal/Statement of Work: A document outlining the specific services to be provided by Paarin, the scope of work, timelines, and fees.
2. Services
Paarin offers the following services:
Figma Design: Creation of website mockups and designs using Figma.
Framer Development: Building functional websites based on approved designs using the Framer platform.
Website Hosting: Providing server space and related services to make the developed website accessible on the internet.
The specific services to be provided will be detailed in the Project Proposal or Statement of Work.
3. Project Process
The project process may typically involve the following stages:
Discovery & Planning: Initial discussions to understand the Client's needs and goals.
Design (Figma): Creation of visual designs and mockups in Figma for Client review and feedback.
Development (Framer): Building the functional website in Framer based on the approved designs.
Testing & Launch: Thorough testing of the website before deployment to the hosting environment.
Hosting & Maintenance (if applicable): Ongoing hosting services and potential maintenance as agreed upon.
4. Client Responsibilities
The Client agrees to:
Provide all necessary Client Materials in a timely manner and in the required format.
Provide clear and constructive feedback on designs and development.
Ensure they have the legal right to use all Client Materials provided to Paarin.
Meet agreed-upon deadlines for providing content and approvals.
5. Fees and Payment
The fees for our services will be outlined in the Project Proposal or Statement of Work.
Payment terms (e.g., milestones, due dates) will be specified in the Project Proposal or Statement of Work.
Unless otherwise stated, all fees are exclusive of applicable taxes.
Paarin reserves the right to suspend work if payments are not received according to the agreed-upon schedule.
6. Revisions
We strive for your complete satisfaction. For design work, unless otherwise specified in the Project Proposal, the Client is entitled to three (3) rounds of revisions after the initial design presentation. Additional revisions may be subject to additional charges. Revisions should be clearly communicated and within the scope of the original design concepts.
7. Intellectual Property
Client Materials: The Client retains ownership of all Intellectual Property Rights in the Client Materials. The Client grants Paarin a non-exclusive, royalty-free license to use the Client Materials solely for the purpose of providing the services under this Agreement.
Deliverables: Upon full payment of all fees, the Client will own the final website developed in Framer (excluding any third-party software or components licensed separately). Paarin retains ownership of its pre-existing tools, templates, code libraries, and processes used in the creation of the Deliverables. The Figma design files will be provided to the client upon final payment.
8. Hosting
If Paarin provides hosting services, the terms and conditions of our hosting provider may also apply.
Paarin will use commercially reasonable efforts to ensure the website is available, but does not guarantee uninterrupted or error-free hosting.
The Client is responsible for the content stored and transmitted through the hosting service and must comply with all applicable laws and our hosting provider's terms of service.
9. Warranties and Disclaimers
Paarin warrants that the services will be performed in a professional and workmanlike manner.
To the maximum extent permitted by law, Paarin disclaims all other warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Paarin does not warrant that the website will be error-free or uninterrupted.
10. Limitation of Liability
To the maximum extent permitted by law, Paarin's total liability to the Client for any claim arising out of or in connection with this Agreement shall not exceed the total fees paid by the Client to Paarin under the applicable Project Proposal or Statement of Work. In no event shall Paarin be liable for any indirect, consequential, incidental, special, or punitive damages.
11. Indemnification
The Client agrees to indemnify and hold harmless Paarin, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to (i) the Client's breach of this Agreement, (ii) the Client Materials, or (iii) the Client's use of the Deliverables or hosted website.
12. Termination
Either party may terminate this Agreement upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice.
Paarin may terminate this Agreement immediately if the Client becomes insolvent, bankrupt, or enters into any arrangement with its creditors.
Upon termination, the Client shall pay Paarin for all services performed and expenses incurred up to the date of termination.
13. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu.
14. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written, relating to the subject matter hereof.
15. Amendments
No amendment to or modification of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties.
